GENERAL TERMS AND CONDITIONS OF SALE

Effective Date: April 1, 2026

1. Purpose

These General Terms and Conditions of Sale (hereinafter, the "GTCS") apply without restriction or reservation to all online sales offered by PROPULSION CONSULTING, a simplified joint-stock company (société par actions simplifiée) with a capital of 2,500 euros, whose principal place of business is located at 402 route de la Tour d'Aigues – 84240 Grambois, and registered with the Avignon Trade and Companies Register under number 938 760 998 (hereinafter, the "Seller" or "European Drones Shop," also known as "EDS") on the website https://europeandroneshop.com (hereinafter, the "Site"). EDS may be contacted at the following address, particularly for any complaints:

The Site is an e-commerce platform that allows professionals (B2B) and consumers (B2C) (hereinafter, the "Buyers") to order from the Seller drones (for consumers and professionals), electronic components, batteries (LiPo, Li-ion, etc.), and UAV/model-making accessories (hereinafter, the "Products").

These Terms and Conditions set forth the terms and conditions governing the online sale and delivery of the Products, as well as the rights and obligations of the parties in this regard.

They are accessible and printable at any time via a direct link at the bottom of the Website's page. The applicable version of the T&C is the one available online on the Website as of the date of the Buyer's order.

Certain provisions differ depending on whether the Buyer is a B2C or B2B customer.

2. Application of the Terms and Conditions

The Terms and Conditions take precedence over any other general or specific terms and conditions not expressly approved by "EDS."

They may be supplemented, where applicable, by specific terms of use for certain services and/or products offered on the Site, which supplement the Terms and Conditions and, in the event of a conflict, take precedence over them.

The fact that "EDS" does not invoke any provision of these Terms and Conditions at a given time shall not be construed as a waiver of the right to invoke any such provision at a later date. The invalidity of a single contractual clause does not render the Terms and Conditions invalid. The temporary or permanent non-enforcement by "EDS" of one or more clauses of these Terms and Conditions shall not constitute a waiver on its part of the other clauses, which shall continue to be effective.

3. Legal Capacity and Acceptance of the Terms and Conditions

3.1 Legal Capacity

The Site is accessible to any legal entity acting through a natural person who has the legal capacity to enter into contracts in the name and on behalf of the legal entity.

3.2 Acceptance of the Terms and Conditions

The Buyer's acceptance of the Terms and Conditions is indicated by checking a box on the order form on the Website. Such acceptance must be full and unconditional. Any acceptance subject to conditions is considered null and void. A Buyer who does not agree to be bound by the Terms and Conditions must not place an order on the Website.

3.3 Registration on the Website

Placing an order on the Site does not require the Buyer to register on the Site. However, if the Buyer wishes, they may register by filling out the form provided for that purpose. To do so, the Buyer must provide all information marked as required. Otherwise, the order will not be confirmed.

Registration on the Site automatically results in the creation of an account in the Buyer's name (hereinafter, the "Account"), giving the Buyer access to a personal account area (hereinafter, the "Personal Account Area") that allows the Buyer to manage their purchases in the manner and using the technical means that "EDS" deems most appropriate.

The Buyer warrants that all information provided is accurate, up-to-date, and truthful, and is not misleading in any way.

The Buyer agrees to update this information by notifying "EDS" directly or through their Personal Account, as applicable, in the event of any changes (including, but not limited to, a change of mailing address), so that it always meets the aforementioned criteria.

The Buyer is informed and agrees that the information entered serves as proof of their identity. The information entered by the Buyer is binding upon them as soon as it is validated.

The Buyer may access their Personal Account at any time after logging in with their username and password.

The Buyer agrees to use their Account personally and not to allow any third party to use it in their place or on their behalf, unless they assume full responsibility for such use.

The Buyer is also responsible for maintaining the confidentiality of their username and password, as any access to the Site using these credentials is deemed to have been made by the Buyer. The Buyer must immediately contact "EDS" using the contact information provided in Article 1 of these Terms if they notice that their Account has been used without their knowledge. The Buyer acknowledges that "EDS" has the right to take all appropriate measures in such cases.

3.4 Website Accessibility

The Site is generally accessible to all Internet users 24 hours a day, 7 days a week, except in the event of an interruption—whether scheduled or unscheduled—by "EDS" or its service providers for maintenance and/or security purposes, in cases of force majeure, or during Site updates. "EDS" shall not be held liable for any damages, of any nature whatsoever, resulting from the unavailability of the Site.

"EDS" does not guarantee that the Site will be free of anomalies, errors, or bugs, nor that the Site will operate without failure or interruption. In this regard, "EDS" may freely determine, at its sole discretion, any period during which the Site or its content may be unavailable. "EDS" also cannot be held liable for problems related to data transmission, connectivity, or network unavailability.

3.5 Product Characteristics

Before placing any online order, the Buyer may review, on the Website, the specifications of each Product they wish to order.

The Seller represents that all Products offered for sale comply with applicable HOBBYWING UAV regulations.

Products are offered for sale online while supplies last or subject to the possibility of ordering them, if applicable.

HOBBYWING UAV will ensure that the photographs and descriptions of the Products on the Website are as accurate as possible in relation to the Products themselves. The Products offered for sale are described and presented as accurately as possible. However, HOBBYWING UAV shall not be held liable for minor variations in the appearance of the Product(s), and such variations shall not affect the validity of the sale.

4. Orders

4.1 Placing an Order

To place an order, the Buyer must select the Product of their choice and add it to their shopping cart. They then fill out a registration form on the Site.

They can view their shopping cart summary at any time as long as the order has not been definitively confirmed and can correct any errors in the information entered. In particular, the Buyer may choose their delivery method and payment method from among the options offered by the Site.

The order is deemed to have been received by "EDS" once it has been definitively confirmed by the Buyer.

4.2 Order Confirmation

Upon completion of the order, the Buyer receives an email confirmation summarizing the order details.

The Buyer must ensure that the contact information provided is correct and that it allows them to receive the relevant email. If the Buyer does not receive this email, they must contact "EDS" using the contact information provided in Article 1.

"EDS" recommends that the Buyer retain the information contained in the order confirmation.

5. Right of Withdrawal – Cancellation of the Order

5.1 B2B Professional

Since the B2B Buyer is a professional purchasing within the scope of and for the needs of their profession, the right of withdrawal provided for by the Consumer Code does not apply.

Orders submitted to the Seller are therefore irrevocable, and the deposit paid by the Buyer is non-refundable.

5.2 B2C Consumer

B2C Buyers have 14 days to cancel their purchase, provided the following conditions are met:

  • Product must be unused
  • Original packaging must be included
  • Return shipping costs are the customer's responsibility
  • Refund within 1 month

6. Prices and Payment Terms for Products

6.1 Prices

The prices of the Products are those listed on the Site. They are denominated in euros and calculated inclusive of all taxes, in accordance with the taxes applicable to B2B or B2C transactions. Accordingly, the Buyer acknowledges having reviewed the tax applicable to their Order, which may vary depending on the country to which the Products are delivered.

It is specified that in the case of delivery outside of France or the European Union, prices are also expressed in euros. The Buyer declares that they have obtained all necessary information to determine the exchange rate applicable on the date of their Order, prior to placing any Order. The Seller shall not be held liable in this regard.

The Website specifies the shipping costs applicable to the Products. Shipping costs include all taxes, customs duties, and any other fees imposed by government authorities related to the international shipment of the Products. No additional charges will be billed to the Buyer in this regard.

6.2 Payment Terms

The full price of the Products is due at the time of order. The invoice for each Product ordered by the Buyer is sent by email.

Payment is made online through the Seller's financial partner.

6.3 Retention of Title

The Seller retains full and complete ownership of the Products sold until full payment of the price and any applicable shipping costs has been received.

Risk passes to the Buyer at the time the Order is placed. Thus, the Buyer bears all risks associated with delivery.

7. Delivery of Products

7.1 Delivery Areas

Buyers are expressly informed that the Seller offers delivery of the Products only to the regions listed on the Site.

7.2 Delivery Methods

Products are delivered to the address specified by the Buyer as the "delivery address" when placing the order (which may differ from the billing address).

Different delivery methods may be available, depending on the Product categories and their weight.

Before confirming their order, the Buyer is informed of the available delivery methods for the ordered Product, as well as the delivery times and fees associated with each method.

The Buyer must select the desired delivery method and provide all information necessary for the Product to be delivered via that method.

The Buyer is solely responsible for picking up the delivered Products within the required time frame.

The Buyer must ensure that the information provided is accurate and remains so until the ordered Product(s) have been fully delivered. The Buyer therefore agrees to notify "EDS" of any changes to billing and/or shipping information that may occur between the time the order is placed and delivery, by sending an email without delay to the customer service email address. Failing this, in the event of a delay and/or delivery error, the Buyer may not under any circumstances hold "EDS" liable for any failure to deliver, and the "EDS" customer service department will contact the Buyer to arrange a second delivery at the Buyer's expense.

7.3 Delivery Times

Any delivery times provided to the Buyer are for informational purposes only. However, "EDS" undertakes to deliver the Product within a maximum of forty-five (45) days from the date the Order is confirmed.

The Seller shall not be held liable in the event of a legitimate delay in fulfilling the Order, particularly when the delay is attributable to the Buyer or beyond the control of the parties.

7.4 International Delivery

International delivery is subject to all of these Terms and Conditions of Sale.

The Seller will carry out all administrative procedures necessary for the export of the Products abroad, in accordance with the applicable regulations of the country to which the Products will be delivered.

Nevertheless, the Buyer represents that it has verified the applicable regulations in the country where the Products will be delivered, in particular to ascertain the administrative and inspection procedures related to the importation of the Products into the country of delivery, which may apply to the Products and be binding on the Buyer. The Seller shall not be held liable in this regard.

8. Warranties Against Hidden Defects, Returns, and After-Sales Service

The Buyer has seven (7) days from receipt of the Product to report an apparent defect to the Seller in writing, accompanied by a photograph of the defective Product. Otherwise, the Buyer will be deemed responsible for the defect affecting the Product in question.

The Seller reminds the Buyer that the Buyer is covered by the statutory warranty against hidden defects in the ordered Product.

If the Buyer discovers that the Product delivered to them has a hidden defect, they must notify the Seller in writing, providing any relevant supporting documentation—including, but not limited to, photographs—within the statutory time limits. In any event, the Seller will arrange the return procedures with the carrier of its choice and will notify the Buyer of these arrangements by any appropriate means. Products must be returned to the Seller in their original packaging. They must be accompanied by a copy of the corresponding purchase invoice.

The Products must not have been misused, modified, or used in violation of the terms of use.

Returns of Products that do not comply with the terms described above will not be accepted.

The Seller will conduct the necessary inspections and, to the extent possible, offer to replace the Product for the Buyer if a hidden or apparent defect is indeed found. If replacement of the Product is not possible, the Seller will refund the Buyer the full price paid for the Product, as well as the corresponding shipping costs, by any appropriate means, as soon as possible and no later than fourteen (14) days following the date on which the Seller informs the Buyer that it is impossible to replace the Product.

If the Seller determines that there are no hidden or apparent defects, it reserves the right not to issue a refund or provide a replacement, without prejudice to the Buyer's right to pursue legal remedies.

9. Buyers' Obligations

9.1 Obligations and Warranties for the Orders from the Buyers

Buyers are solely responsible for their selection and use of the Products.

It is their responsibility to verify that the Products are suitable for their specific needs and requirements prior to purchasing said Products.

Furthermore, the Buyer agrees not to use the Products for military purposes and declares that they are aware of all administrative procedures and authorizations required to use the Products. They declare that they already have such authorizations or will obtain them on their own before using the Products.

Finally, the Buyer agrees to comply with all regulations applicable to the use of the Products.

The Seller shall not be held liable in this regard.

Furthermore, the Buyer indemnifies the Seller against any and all complaints, claims, actions, and/or demands that the Seller may face as a result of the Buyer's breach of any of its obligations under these Terms and Conditions. The Buyer agrees to pay the Seller all costs, expenses, and/or damages that the Seller may incur as a result.

The Buyer also warrants that it complies with all laws applicable to its business. The Buyer warrants that the fulfillment of the Order, carried out in accordance with and subject to the Terms and Conditions, does not in any way infringe upon the rights of third parties.

Consequently, the Buyer agrees to indemnify the Seller against any judgment that may be rendered against the Seller, including the costs incurred for the Seller's defense, arising from any infringement of a third party's rights resulting from the fulfillment of the Order.

9.2 Use of Drones and Applicable Regulations

EDS expressly draws the Buyer's attention to the fact that the use of drones and related equipment is subject to specific regulations, which are subject to change, particularly at the French and European levels (DGAC, EASA).

The Buyer is required to strictly comply with all applicable laws and regulations governing the use of drones, including:

  • The rules regarding the operation of unmanned aircraft (open and specific categories)
  • Requirements regarding registration, training, flight authorizations, and insurance
  • Flight restrictions (prohibited zones, built-up areas, people, animals, sensitive infrastructure, etc.)
  • Rules regarding the protection of privacy and the safety of property and persons

The Customer is encouraged to consult the official information made available by the competent authorities, particularly on the website of the Ministry of Ecological Transition for the location where the Products will be used.

It is the Customer's responsibility to verify that they have all the necessary authorizations, certifications, insurance, and approvals required for the use of the Products.

EDS shall not be held liable in the event of use that does not comply with applicable regulations.

9.3 Use of Lithium Batteries (LiPo / Li-ion)

The lithium batteries sold by EDS are technical products that require special precautions regarding use, charging, discharging, and storage.

The purchaser agrees to strictly comply with the manufacturer's recommendations as well as standard safety rules, including:

  • Use only a charger that is suitable and compatible with the type of battery being used
  • Never exceed the recommended maximum charging voltage
  • Do not allow the voltage to fall below the recommended minimum
  • Monitor charging operations at all times
  • Never charge a battery unattended
  • Allow the battery to cool after use before recharging
  • Store batteries in safe conditions, ideally in suitable fire-retardant bags

The buyer is advised that any misuse of the batteries may result in significant risks, including:

  • Irreversible damage
  • Overheating
  • Fire
  • Explosion

Since batteries are consumable products, their lifespan depends directly on conditions of use, storage, and maintenance.

The purchaser agrees to:

  • Carefully read the instructions provided with the Products (in paper or digital format)
  • Use the Products for their intended purpose
  • Not modify the Products or add any non-compliant components to them

Any modification, improper use, or failure to comply with technical recommendations will void the warranty and shall be the sole responsibility of the Customer.

10. Liability of "EDS"

In the event of a fault attributable to the Seller during the fulfillment of the Order, the Buyer, upon providing proof of direct and personal damage, shall be entitled to compensation from the Seller for the damage in question. Compensation for any indirect damages is expressly excluded.

In any event, the Seller's liability shall not exceed the amounts received by the Seller in connection with the Order.

The Seller's liability is excluded in the event of any direct or indirect damage affecting property or persons, suffered by the Buyer or a third party, and resulting from the following circumstances:

  • Negligence or fault on the part of the Buyer or a third party
  • Any use of the Products under non-compliant conditions

The Buyer acknowledges that damages resulting from the Buyer's provision of incomplete, inaccurate, or non-compliant data and/or information shall not be attributable to the Seller. Under no circumstances may the Seller be held liable on the basis of information that proves to be erroneous or unlawful.

The Seller shall not be held liable for any failure to perform or any delay in the delivery or fulfillment of Orders due to circumstances beyond its control or a force majeure event, it being expressly stated that, in addition to those typically recognized by French case law, the following are considered force majeure events: exceptional weather conditions, natural disasters, fires and floods, lightning, terrorist attacks, disruptions or blockages of telecommunications networks, damage caused by viruses that cannot be eradicated by security measures currently available on the market, as well as any legal, regulatory, or public policy obligation imposed by the competent authorities that would substantially alter these Terms and Conditions.

11. Compliance with Export Control Regulations and International Sanctions

The Parties agree to comply with all applicable laws and regulations regarding export controls and international sanctions, in particular the regulations of France, the European Union, and the United States, including the EAR (Export Administration Regulations) and, where applicable, the ITAR (International Traffic in Arms Regulations). The Buyer shall not export, re-export, or transfer the products or technical data to any destination prohibited by French, European, or U.S. law.

The Buyer represents and warrants that it is not listed on any international sanctions list (including those of the European Union, the United Nations, or the United States). If the Buyer is added to any such list during the term of this contract, the Seller may terminate this contract as of right, with immediate effect, without notice, and without any indemnity or compensation of any kind being due.

In the event of the sale of one or more products subject to export controls, the Seller is required to follow the mandatory procedures for obtaining the necessary export licenses. The Seller is not responsible for any delays inherent in these mandatory procedures and shall not be held liable for any delay resulting from the granting or denial of a license by the competent authority. Accordingly, the Buyer expressly acknowledges that any confirmation of sale relating to Products subject to export controls is contingent upon the issuance of an export license by the competent authority.

In the event that no license is granted to the Seller for the sale in question—since the aforementioned condition precedent has not been fulfilled—the Seller shall cancel the sale, and the Customer shall have no right to claim any damages or seek any remedy. If the license is granted to the Seller, the Seller shall send the Buyer an order acknowledgment confirming that the order in question complies with applicable export control regulations and may be shipped in accordance with the terms and conditions applicable between the Seller and the Buyer.

Where required by applicable export control regulations and international sanctions, the Buyer shall provide the Seller, for each sale of a product subject to export controls:

  • An "End User Certificate" or a "Non-Reexport Certificate," duly completed and signed by hand, in accordance with the official template established by the competent authority
  • Any relevant information required for the mandatory declarations to be filed with the competent authority as part of the license application procedures initiated by the Seller

12. Intellectual Property

The systems, software, structures, infrastructure, databases, and content of any kind (text, images, graphics, music, logos, trademarks, databases, etc.) used by "EDS" on the Site are protected by all applicable intellectual property rights and database producer rights. Any disassembly, decompilation, decryption, extractions, reuses, copies, and, more generally, any acts of reproduction, display, distribution, and use of any of these elements, in whole or in part, without the authorization of "EDS" are strictly prohibited and may result in legal action.

13. Unsubscribe

The Buyer may unsubscribe from the Site at any time by sending a request to that effect to "EDS" via email, using the contact information provided in Article 1.

The unsubscription will take effect within a maximum of seven (7) days from the date of this request. It will result in the automatic deletion of the Buyer's Account.

14. Privacy and Communication

Any information, of any nature whatsoever, disclosed by one party to the other party in connection with the performance of the Order shall be considered confidential and shall not be disclosed to any third party without the prior written consent of the disclosing party.

15. Processing of Personal Data

The Buyer is hereby informed that the processing of their personal data is governed by the privacy policy available here: https://europeandroneshop.com/content/2-legal-notice

16. Language

In the event that these Terms and Conditions are translated into one or more languages, the French language shall prevail in the event of any contradiction or dispute regarding the meaning of a term or provision.

17. Governing Law and Jurisdiction

These Terms and Conditions are governed by French law.

In the absence of an amicable resolution, any dispute regarding the interpretation and enforcement of these Terms and Conditions shall be brought before the Commercial Court of Avignon.
